Stolt-Nielsen S.A Announces U.S. Securities and Exchange Commission Investigation Completed

London, England - July 11, 2008 - Stolt-Nielsen S.A. (Oslo Stock Exchange: SNI) announced today that it has been informed by the staff of the U.S. Securities and Exchange Commission ("SEC") that the SEC's formal investigation of Stolt-Nielsen has been completed and that the SEC staff does not intend to recommend any enforcement action be taken by the SEC.  Stolt-Nielsen had previously disclosed the formal order of investigation it received in July 2007 relating to, among other things, Stolt-Nielsen's stock options practices and procedures.
